These Terms of Service ("Terms") govern your access to, usage of all content, Products and Digital Marketing Services available at the Zee Entertainment UK Limited website (the "Service") operated by Zee Entertainment UK Limited ("us", "we", or "our").
Your access to our advanced marketing systems and services is subject to your acceptance, without modification, of all of the terms and conditions contained herein and all other operating rules and policies published and that may be published from time to time by us.
1. Services and Payment
Scope of Services: We agree to provide comprehensive digital marketing services (including but not limited to SEO, PPC, and Social Media management) as described in a separate formalized Statement of Work (SOW) or service agreement, which will strictly detail project timelines, deliverable assets, and specific strategic duties.
Payment Terms: Client agrees to pay for marketing services and ad spend management as outlined in the SOW. Payments for monthly retainer services are due in advance of the service period to ensure uninterrupted ad delivery and optimization. Failure to make timely payments may result in immediate suspension or termination of active campaigns and services.
2. Intellectual Property
The Agreement does not transfer from Us to you any of Ours or third party intellectual property, and all right, title, and interest in and to such property will remain (as between the parties) solely with Zee Entertainment UK Limited and its licensors. Any proprietary campaign frameworks, optimization strategies, custom tracking scripts, or creative content developed by our agency remain our intellectual property unless explicitly transferred in writing. Client-provided materials and brand assets remain the property of the Client.
3. Client Responsibilities
The Client agrees to provide all necessary access to information, data, and personnel required for our teams to execute the strategies effectively. This explicitly includes providing administrative access to website backend environments (CMS), ad network accounts (Google Ads, Meta Business Manager), and analytics platforms (Google Analytics, Tag Manager). The Client assumes full responsibility for the factual accuracy and legal compliance of all provided promotional materials and claims.
4. Termination
Either party may terminate the agreement with 30 days written notice, allowing for proper off-boarding and campaign pausing. We may terminate or suspend your access to all or any part of our Services at any time, with or without cause, effective immediately, particularly in cases of non-payment or breach of these operational terms.
All provisions of the Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity regarding ad compliance, and limitations of liability.
5. Disclaimer of Warranties
Our Marketing Services and algorithmic systems are provided "AS IS" and "AS AVAILABLE". Zee Entertainment UK Limited and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Due to the volatile nature of digital platforms, we explicitly do not guarantee any specific mathematical results, exact search engine rankings, or guaranteed return on investment (ROI) from our services.
You understand that you utilize our marketing strategies, or otherwise obtain content or services through our Services, at your own discretion and assumed business risk.
6. Limitation of Liability
In no event will Zee Entertainment UK Limited, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute marketing products or services; (iii) for interruption of business or loss or corruption of campaign data; or (iv) wasted ad spend due to third-party platform errors.
7. Jurisdiction and Applicable Law
Except to the extent any applicable law provides otherwise, the Agreement and any access to or use of our Services will be governed by the laws of the applicable jurisdiction, excluding its conflict of law provisions.
8. Changes
Zee Entertainment UK Limited reserves the right, at our sole discretion, to modify or replace these Terms at any time to reflect updates in digital marketing compliance or operational procedures. If we make material changes, we will provide at least 30 days' notice prior to any new terms taking effect.
